Terms of Service

1. Acceptance of Terms

By accessing or using the eContract platform ("Service"), operated by eContract.online ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

eContract is a cloud-based SaaS platform for creating, managing, and digitally signing electronic contracts. The Service includes document upload, PKI-based digital signatures, multi-party signing workflows, contract storage, and related features.

3. Account Registration & Security

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Fees

The Service is currently provided free of charge, subject to the fair-use limits in Section 5. We do not collect payment details for free use.

We may introduce paid plans or fees in the future. If we do, we will notify you by email and on our website at least 30 days before any fee applies. No fee will be charged without your explicit agreement, and your existing contracts and data remain yours and remain accessible.

5. Fair-Use Limits

To keep the Service reliable and to prevent abuse, free use is subject to fair-use limits, such as daily limits on AI requests and emails and a storage limit per workspace. The current limits are published on our pricing page. When a limit is reached, the related action is paused until the limit resets; your existing data is not affected. We may adjust these limits to protect the Service.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to violate any laws
• Upload malicious content, viruses, or harmful code
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to send spam, phishing, or unsolicited communications
• Reverse engineer, decompile, or disassemble any part of the Service

7. Intellectual Property

You retain all ownership rights to the contracts and documents you upload to the Service. The Service’s software, design, trademarks, and other intellectual property remain the exclusive property of the Company. We grant you a limited, non-exclusive, non-transferable license to use the Service while you use it in accordance with these Terms.

8. Electronic Signatures

The Service provides electronic signature functionality using PKI-based digital signatures with PAdES standards. While we strive to meet international e-signature standards, the legal validity of electronic signatures may vary by jurisdiction. You are responsible for ensuring compliance with applicable electronic signature laws in your jurisdiction (e.g., eIDAS in the EU, ESIGN Act in the US, Electronic Transactions Act in Singapore).

9. Data Handling

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable prior notice. We are not liable for any downtime or service interruptions.

11. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Because the Service is provided free of charge, our total liability is limited to the minimum amount permitted by applicable law; where you have paid fees for the Service, it shall not exceed the fees you paid in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

You may stop using the Service and close your account at any time. We may terminate or suspend your account for violation of these Terms. Upon termination, your data will be retained for 30 days, after which it will be permanently deleted.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
